Executive Summary
The seller described this property’s foundation issue as minor.
It wasn’t — the building visibly slants, and buyers priced in substantially more capital expenditure than Greysteel’s initial guidance once they toured it. Despite the pricing gap that created, Greysteel closed the sale at $1,500,000, and resolved a last-minute estoppel requirement by getting a tenant’s signature in person rather than losing a closing date to it.
The Challenge
A significant foundation problem, understated by the seller ahead of marketing, meant buyer pricing came in well below the original guidance range once real capital expenditure numbers were factored in. Separately, a required tenant estoppel threatened to delay closing when it couldn’t be obtained through normal channels late in the week.
The Solution
Greysteel adjusted expectations with the seller once the true condition of the property was clear, and kept the deal moving toward the closing buyer pool despite the repricing. When the estoppel stalled, the broker printed the document and drove to the property in person to get the tenant’s signature directly, rather than wait for a response that might not have come in time.
Results
- Closed despite a significant undisclosed capital expenditure item
- Estoppel obtained same-day, in person, preventing a closing delay
- Reinforced the value of physically inspecting a property rather than relying solely on seller representations
